SIMPLIFYING THE BUSINESS MATCHMAKER TERMS AND CONDITIONS

Definitions: In these terms and conditions StB MM means the IATA Simplifying the Business Matchmaker; StB Project means the IATA project by that or similar name that concerns itself (amongst other things) with the use and promotion of the simplifying the business amongst the air transport industry; StB MM System means the electronic system sponsored by IATA that StB MM Users may share and receive certain data relating to the StB Project; the StB MM User means the company or organization using the StB MM System, and who agrees to these terms and conditions, and for clarity ‘other StB MM users’ are companies and organisations who use the StB MM System (but does not include IATA or the StB MM User).

Participation in the StB Project and use of the StB MM System is voluntary. Any data held in the StB MM System will only be used for the purpose of the StB Project in order to facilitate global implementation. Data provided by the StB MM User may be shared with, or made visible to, other StB MM users. While IATA will use its best endeavors to ensure that a StB MM User’s confidential material is not shared with entities other than those pre-agreed by the StB MM User, IATA accepts no liability for failure to maintain the confidentiality of data.

The StB MM User warrants that it has the right to input data into the StB MM System, and for this data to be shared with third parties. The StB MM User shall defend, indemnify and hold harmless IATA from and against any and all claims, demands, losses, costs, damages, actions, suits or other proceedings arising out of the StB MM User’s breach of this warranty.

Participation in the StB Project and use of the StB MM System does not imply that other methods of the StB Project implementation should not or would not be used by the StB MM User, any other StB MM user, or any non-participant. Use of the StB MM System neither imposes, nor implies, any obligation on any party other than as expressly set out in these terms and conditions.

Information sent to a StB MM User is for information purposes only and does not in itself provide the basis of a commercial agreement. Any party using information derived from the StB MM System in a commercial agreement does so at its own risk and is advised to take competent professional advice before doing so. IATA makes no warranty or representation on the accuracy of any information provided over the StB MM System.

IATA will make reasonable efforts to ensure secure operation of the StB MM System; however IATA will not accept any liability whatsoever for any consequences arising from the use of the StB MM System by any party.

IATA will make reasonable efforts to keep users of the StB MM System informed of developments in the service in a timely manner, however IATA retains the right to modify the StB MM System in any way, including withdraw it, at any time without notice. IATA also reserves the right to modify the framework of the StB Project, or suspend or terminate the StB Project, at any time and without notice.

Any StB MM User may give notice to withdraw from using the StB MM System, or participation in the StB Project, at any time. To withdraw, the registered contacts must do so by e-mail to stbmm@iata.org. Withdrawal from the StB MM System and/or StB Project will be implemented within a reasonable period. Any information relating to a StB MM User that withdraws from the service would be permanently removed from the system if so explicitly requested, insofar as IATA is able to do so using reasonable efforts. Once the information is removed from the system, it may not be retrievable.

IATA may suspend or terminate a StB MM User’s access to and/or participation in the StB MM System or StB Project at any time without notice. IATA will not be liable for any losses suffered by the suspended or terminated StB MM User in the event of such suspension or termination.

IATA does not guarantee that the StB MM System will be available at all times, if at all. The StB MM User acknowledges that while IATA uses reasonable efforts to make the system available, the system is provided on an as is, where is basis and IATA accepts no liability for any losses suffered by the StB MM User or any third party due to the system’s unavailability.

Any trade marks (whether registered or unregistered) and logos of IATA must not be used or modified in any way without obtaining the prior written consent of IATA.

Any trade marks (whether registered or unregistered) and logos of other StB MM users must not be used or modified in any way without obtaining the prior written consent of the relevant other StB MM user.

IATA may revise these terms and conditions at any time. Where there is a material change in the terms and conditions, IATA will use best efforts to notify the StB MM User. Your continued use of the StB MM System is deemed to be acceptance of any revised terms and conditions.

Participation in, or use of, the StB MM System or StB Project should only be made if the above conditions are acceptable.
